These Terms and Conditions govern your access to and use of Review Rocket, a web application powered by MorphETIX Inc.

By accessing or using Review Rocket, you agree to these Terms. If you do not agree, do not use the application.

1. About Review Rocket

Review Rocket helps customers of a business quickly generate a draft review using artificial intelligence. The user may then review, edit, copy, and manually post that review to a third-party platform, such as Google, Facebook, or another review website.

Review Rocket does not automatically post reviews on behalf of users.

Review Rocket is intended to help real customers express their genuine experience more clearly and conveniently. It must not be used to create fake, misleading, paid, incentivized, or deceptive reviews.

In these Terms, “Review Rocket,” “MorphETIX,” “we,” “us,” and “our” refer to MorphETIX Inc. and the Review Rocket application.

“User,” “you,” and “your” refer to any person or business accessing or using Review Rocket.

3. Eligibility

You may use Review Rocket only if you:

Are at least the age of majority in your jurisdiction, or have permission from a parent or legal guardian; Have the legal capacity to agree to these Terms; Will use Review Rocket only for lawful purposes; Will comply with these Terms and all applicable laws, platform policies, and regulations.

Businesses using Review Rocket are responsible for ensuring that their employees, contractors, customers, and representatives comply with these Terms.

4. AI-Generated Review Drafts

Review Rocket uses artificial intelligence to generate suggested review text based on information provided by the user.

You understand and agree that:

AI-generated content is a draft only. The final review must reflect the user’s genuine experience. The user is responsible for reviewing, editing, approving, copying, and posting any review. Review Rocket does not guarantee that generated content is accurate, complete, lawful, compliant, or suitable for posting. Review Rocket does not guarantee that any third-party platform will accept, display, rank, or retain a review. Review Rocket may generate wording that requires human correction before use.

You must not post any AI-generated review unless you have reviewed it and confirmed that it accurately reflects your real experience.

5. No Fake, Misleading, or Incentivized Reviews

You must not use Review Rocket to create, support, request, publish, or distribute reviews that are fake, misleading, deceptive, manipulated, or not based on a real customer experience.

Without limitation, you must not use Review Rocket to:

Create reviews for businesses you have not actually used; Create reviews pretending to be someone else; Create reviews using false names, fake accounts, or multiple accounts; Create reviews in exchange for payment, gifts, discounts, rewards, or other incentives; Pressure customers to leave only positive reviews; Discourage or suppress negative reviews; Require customers to use specific wording; Misrepresent a customer’s experience; Generate reviews from employees, contractors, owners, family members, or affiliated parties without proper disclosure; Attack competitors or create false negative reviews; Manipulate ratings, rankings, review volume, or online reputation signals.

Google’s review policies prohibit fake engagement, including reviews that are not based on a real experience and reviews or ratings that have been paid for directly or indirectly. Meta also maintains Community Standards governing what is allowed on Facebook, Instagram, Messenger, and Threads.

6. Platform Compliance

Review Rocket may provide links or buttons to third-party platforms, including Google, Facebook, Meta, or other review websites.

You are solely responsible for complying with the terms, policies, community standards, and review guidelines of any third-party platform where you post content.

We are not responsible for:

Review removal; Account suspension; Business profile penalties; Reduced visibility; Platform enforcement actions; Review rejection; Changes to third-party policies; Loss of reviews, ratings, or reputation benefits.

Third-party platforms may moderate, remove, restrict, or refuse reviews at their discretion.

7. Business Customer Responsibilities

If you are a business using Review Rocket, you are responsible for how the application is shared, promoted, configured, and used with your customers.

You agree that you will:

Invite only genuine customers to use Review Rocket; Allow customers to provide honest feedback, whether positive, neutral, or negative; Not condition incentives, discounts, gifts, refunds, or benefits on review submission; Not require customers to post the AI-generated draft; Not prevent customers from editing the review; Not pre-screen only happy customers for public reviews in a way that misleads consumers; Not use Review Rocket to fabricate review volume; Not collect or use customer information unlawfully; Maintain your own privacy policy and customer notices where required; Comply with applicable advertising, consumer protection, privacy, anti-spam, and competition laws.

The Competition Bureau Canada has identified misleading online reviews and advertisements designed to look like independent reviews as a deceptive marketing concern.

8. User Content

“User Content” means any information, text, rating, feedback, description, review details, prompts, preferences, business information, or other content submitted into Review Rocket.

You retain ownership of your User Content. However, by submitting User Content to Review Rocket, you grant MorphETIX a limited, worldwide, non-exclusive, royalty-free licence to use, process, store, transmit, display, modify, and generate outputs from that content as necessary to provide, maintain, secure, support, and improve Review Rocket.

You represent and warrant that:

You have the right to submit the User Content; The User Content is accurate to the best of your knowledge; The User Content does not violate another person’s rights; The User Content does not contain unlawful, defamatory, abusive, discriminatory, obscene, or harmful material; The User Content does not include confidential or sensitive information that you are not authorized to provide.

9. Prohibited Uses

You must not use Review Rocket to:

Violate any law, regulation, or third-party policy; Generate fake, deceptive, or misleading reviews; Impersonate another person or business; Submit false or fraudulent information; Harass, defame, threaten, or abuse any person or business; Upload malware, malicious code, or harmful content; Attempt to gain unauthorized access to Review Rocket or related systems; Reverse engineer, scrape, copy, or exploit the application; Interfere with the security or operation of the application; Use Review Rocket to train competing AI models or build a competing product without written permission; Use Review Rocket for illegal advertising, spam, or deceptive marketing; Violate the intellectual property rights of MorphETIX or any third party.

We may suspend or terminate access if we believe Review Rocket has been used in a prohibited manner.

10. No Legal, Marketing, or Platform Advice

Review Rocket is a software tool. It does not provide legal advice, advertising advice, consumer protection advice, platform compliance advice, or reputation management guarantees.

You should consult qualified professionals if you require legal, regulatory, privacy, advertising, or platform compliance advice.

Use of Review Rocket does not create a lawyer-client, advisor-client, fiduciary, partnership, employment, or agency relationship between you and MorphETIX.

11. Review Results Are Not Guaranteed

MorphETIX does not guarantee that use of Review Rocket will result in:

More reviews; Higher ratings; Better search visibility; Increased revenue; Improved ranking on Google, Facebook, or any other platform; Acceptance or publication of any review; Prevention of negative reviews; Removal of unwanted reviews.

Review outcomes depend on customer behaviour, platform rules, business practices, market conditions, and other factors outside our control.

12. Account Registration

Some users or businesses may need to create an account to access certain Review Rocket features.

You agree to provide accurate and complete account information and to keep your login credentials secure.

You are responsible for all activity under your account, whether authorized by you or not, unless caused by our proven negligence or wilful misconduct.

You must notify us promptly if you suspect unauthorized access to your account.

13. Subscription, Fees, and Payment

If Review Rocket is offered as a paid service, you agree to pay all applicable fees according to the pricing, billing cycle, and payment terms presented at the time of purchase or in a separate agreement.

Unless otherwise stated:

Fees are listed in Canadian dollars; Fees are exclusive of applicable taxes; Payments are due in advance; Subscriptions may renew automatically; Failure to pay may result in suspension or termination of access.

Additional payment terms may be included in an order form, invoice, service agreement, or subscription checkout page.

14. Refunds and Cancellations

Refund and cancellation terms will be stated at the time of purchase or in your applicable service agreement.

Unless otherwise required by law or expressly stated in writing, fees already paid are non-refundable.

Cancelling a subscription may prevent future billing but does not automatically refund prior charges.

15. Privacy

Your use of Review Rocket is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, disclose, store, and protect personal information.

In Canada, PIPEDA applies to many private-sector organizations that collect, use, or disclose personal information in the course of commercial activity.

16. Intellectual Property

Review Rocket, including its software, design, branding, workflows, prompts, templates, features, interface, logos, graphics, text, and related materials, is owned by MorphETIX or its licensors.

You may not copy, reproduce, modify, distribute, resell, sublicense, or create derivative works from Review Rocket unless we give you written permission.

The names Review Rocket, MorphETIX, and related branding may not be used without our prior written consent.

17. Feedback

If you provide suggestions, ideas, comments, improvements, or other feedback about Review Rocket, you grant MorphETIX the right to use that feedback without restriction, compensation, or obligation to you.

18. Third-Party Services

Review Rocket may rely on or connect to third-party services, including AI providers, hosting providers, analytics tools, payment processors, CRM tools, Google, Facebook, Meta, or other platforms.

We do not control third-party services and are not responsible for their:

Availability; Security; Accuracy; Policies; Content; Fees; Actions or omissions; Service interruptions.

Your use of third-party services may be subject to separate terms and privacy policies.

19. Availability and Changes to the Application

We may modify, suspend, limit, replace, or discontinue Review Rocket or any part of it at any time.

We do not guarantee uninterrupted or error-free access.

Review Rocket may be unavailable due to maintenance, updates, outages, security issues, third-party failures, or events beyond our reasonable control.

20. Disclaimers

Review Rocket is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, MorphETIX disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of:

Merchantability; Fitness for a particular purpose; Non-infringement; Accuracy; Reliability; Availability; Security; Platform compliance; Review acceptance; Business results.

We do not warrant that Review Rocket will be error-free, uninterrupted, secure, or free from harmful components.

21. Limitation of Liability

To the maximum extent permitted by law, MorphETIX and its directors, officers, employees, contractors, agents, affiliates, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, aggravated, or punitive damages, including loss of profits, loss of revenue, loss of goodwill, loss of data, business interruption, reputational harm, platform penalties, or loss of reviews.

To the maximum extent permitted by law, our total liability for any claim related to Review Rocket will not exceed the amount paid by you to MorphETIX for Review Rocket in the three months before the event giving rise to the claim, or CAD $100 if no amount was paid.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

22. Indemnity

You agree to indemnify, defend, and hold harmless MorphETIX and its directors, officers, employees, contractors, agents, affiliates, suppliers, and licensors from and against any claims, losses, damages, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising from or related to:

Your use or misuse of Review Rocket; Your User Content; Any review generated, edited, copied, posted, or submitted by you; Your violation of these Terms; Your violation of any law or third-party platform policy; Your infringement of any third-party rights; Your fake, misleading, incentivized, or deceptive review activity; Your business’s review solicitation practices.

23. Suspension and Termination

We may suspend or terminate your access to Review Rocket at any time if:

You violate these Terms; You use Review Rocket for fake or misleading reviews; You create legal, reputational, technical, or security risk; You fail to pay applicable fees; We are required to do so by law or platform policy; We discontinue the application.

Upon termination, your right to use Review Rocket ends immediately.

Sections that by their nature should survive termination will continue to apply, including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute resolution.

24. Data Deletion After Termination

After your account is terminated or cancelled, we may delete, anonymize, or retain account data and User Content in accordance with our Privacy Policy, legal obligations, backup practices, fraud prevention needs, and legitimate business purposes.

We are not responsible for storing copies of reviews or content you generated unless expressly agreed in writing.

25. Force Majeure

We will not be responsible for delay or failure to perform due to events beyond our reasonable control, including internet outages, cyberattacks, cloud provider failures, labour disruptions, natural disasters, war, civil unrest, governmental action, power failures, or third-party platform outages.

26. Governing Law

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

You agree that any dispute relating to these Terms or Review Rocket will be handled by the courts located in Ontario, Canada, unless applicable law requires otherwise.

27. Dispute Resolution

Before starting legal proceedings, you agree to first contact us and attempt to resolve the dispute informally.

If the matter cannot be resolved informally, either party may pursue available legal remedies in accordance with these Terms.

28. Changes to These Terms

We may update these Terms from time to time.

When we update the Terms, we will revise the “Last Updated” date above. If changes are material, we may provide additional notice by email, in-app notice, or website notice.

Your continued use of Review Rocket after updated Terms are posted means you accept the revised Terms.

29. Assignment

You may not assign or transfer these Terms without our prior written consent.

We may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or other business transaction.

30. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue in full force and effect.

31. Entire Agreement

These Terms, together with the Privacy Policy and any applicable order form, invoice, service agreement, or subscription terms, form the entire agreement between you and MorphETIX regarding Review Rocket.
